Partnerships Terms & Conditions

1. Introduction

Welcome to Partora's Partnership Program. These Terms and Conditions ("Partnership Terms") govern the relationship between Partora LLC ("Partora", "we", "us", or "our") and our partners, including but not limited to Service Providers, Sellers, Referral Partners, and other business partners ("Partners", "you", or "your").

By participating in any Partora partnership program, you agree to be bound by these Partnership Terms, our general Terms & Conditions, and our Privacy Policy. If you do not agree to these terms, you may not participate in our partnership programs.

2. Partnership Types

2.1 Service Provider Partnerships

Service Providers on Partora platform agree to:

  • Provide automotive services (repairs, maintenance, detailing, etc.) in accordance with industry standards
  • Maintain accurate shop information, working hours, and service availability
  • Complete KYC verification and maintain active status
  • Respond to service requests and quotes within agreed timeframes
  • Uphold quality standards and customer satisfaction requirements

2.2 Seller Partnerships

Sellers on Partora platform agree to:

  • List authentic automotive parts and products with accurate descriptions
  • Maintain inventory levels and update product availability in real-time
  • Complete KYC verification and comply with seller plan requirements
  • Process orders promptly and ensure timely delivery
  • Handle returns and refunds according to Partora policies

2.3 Referral Partnerships

Referral Partners may earn commissions or benefits for referring new users, service providers, or sellers to the Partora platform. Referral terms are subject to separate agreements and may vary based on the referral program.

3. Partner Obligations

3.1 Compliance Requirements

  • All partners must comply with applicable laws and regulations in the UAE and GCC region
  • Partners must maintain valid business licenses and permits where required
  • Partners must provide accurate information during registration and keep it updated
  • Partners must not engage in fraudulent, deceptive, or illegal activities

3.2 Quality Standards

  • Service Providers must maintain minimum quality ratings as specified by Partora
  • Sellers must ensure product authenticity and quality
  • All partners must respond to customer inquiries and complaints promptly
  • Partners must maintain professional conduct in all interactions

3.3 Platform Usage

  • Partners must use the Partora platform in accordance with our Terms of Service
  • Partners must not attempt to circumvent platform fees or policies
  • Partners must not engage in activities that harm the platform or other users
  • Partners must protect user data and maintain confidentiality

4. Fees and Payments

4.1 Platform Fees

Partners may be subject to platform fees, subscription fees, or commission structures as outlined in their specific partnership agreement. Fees are subject to change with 30 days' notice.

4.2 Payment Terms

  • Service Providers and Sellers will receive payments according to Partora's payment schedule
  • Payments are typically processed within 7-14 business days after order completion
  • Partora reserves the right to withhold payments in cases of disputes, fraud, or policy violations
  • All payments are subject to applicable taxes and deductions

4.3 Refunds and Chargebacks

Partners are responsible for handling refunds and chargebacks according to Partora's refund policy. Partora may deduct chargeback fees and related costs from partner accounts.

5. Intellectual Property

Partners acknowledge that Partora owns all intellectual property rights in the platform, including but not limited to trademarks, logos, software, and content. Partners may not use Partora's intellectual property without prior written consent, except as necessary to use the platform.

Partners retain ownership of their own content, products, and services, but grant Partora a license to use, display, and promote such content on the platform.

6. Termination

6.1 Termination by Partner

Partners may terminate their partnership at any time by providing 30 days' written notice to Partora. Outstanding obligations, including pending orders and payments, must be completed before termination.

6.2 Termination by Partora

Partora may terminate a partnership immediately if:

  • The partner violates these Partnership Terms or our general Terms & Conditions
  • The partner engages in fraudulent or illegal activities
  • The partner's quality ratings fall below minimum standards
  • The partner fails to comply with applicable laws or regulations
  • Partora determines, in its sole discretion, that termination is necessary

6.3 Effect of Termination

Upon termination, partners must immediately cease using Partora's platform and remove any Partora branding or references. Outstanding payments will be processed according to our payment terms, subject to any deductions for violations or disputes.

7. Limitation of Liability

To the maximum extent permitted by law, Partora shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the partnership, including but not limited to loss of profits, revenue, data, or business opportunities.

Partners are solely responsible for their products, services, and business operations. Partora acts as a platform facilitator and does not guarantee the success of any partnership.

8. Dispute Resolution

Any disputes arising from these Partnership Terms shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with UAE arbitration laws, or through the courts of the United Arab Emirates.

9. Modifications

Partora reserves the right to modify these Partnership Terms at any time. Material changes will be communicated to partners with at least 30 days' notice. Continued use of the platform after changes constitutes acceptance of the modified terms.

11. Governing Law

These Partnership Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any legal action or proceeding arising from these terms shall be brought exclusively in the courts of the UAE.

12. Acknowledgment

By participating in any Partora partnership program, you acknowledge that you have read, understood, and agree to be bound by these Partnership Terms & Conditions.
